Terms of Service

1. Acceptance of Terms

By accessing or using the LaikiEdu school management platform and any associated services ("Service"), you confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a school or other organization, you represent that you have the authority to bind that organization to these Terms.

These Terms apply to all school administrators, teachers, students, parents, and any other persons who access or use the LaikiEdu platform. If you do not agree to any part of these Terms, you must immediately stop using the Service.

2. Description of Service

LaikiEdu is a cloud-based school management Software-as-a-Service (SaaS) platform provided by Laiki Tech Innovations Ltd (RC 8514497), a company incorporated under the laws of the Federal Republic of Nigeria. The Service includes, but is not limited to:

• Student result entry, management, and publication
• Automated report card generation and distribution
• Secure parent and student portals for academic record access
• Custom branded school website portals
• Staff and class management tools
• Email notification and communication features
• Administrative dashboards and analytics

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable advance notice where practicable. We are not liable to you or to any third party for any modification, suspension, or discontinuation of the Service.

3. Account Registration & Security

To access the Service, you must register and create a school account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary to maintain its accuracy.

You are responsible for maintaining the confidentiality of your account credentials. You must immediately notify us at hello@laikiedu.com if you suspect any unauthorized use of your account. LaikiEdu is not liable for any loss or damage arising from your failure to protect your account credentials.

Each school account is allocated a designated number of user accounts (for administrators, teachers, and students) based on the subscription plan selected. Creating fake accounts, sharing accounts in ways that circumvent subscription limits, or misrepresenting your user count is a breach of these Terms.

4. User Responsibilities

As a user of LaikiEdu, you agree to:

• Provide accurate student data, academic records, and institutional information
• Obtain any required consents from parents or guardians before uploading student data, particularly for students under 18 years of age
• Use the Service only for lawful educational administration purposes
• Ensure that all staff members with access to the platform are trained on appropriate data handling practices
• Promptly update or remove student data when a student leaves your institution
• Comply with all applicable Nigerian laws, including the Nigerian Data Protection Regulation (NDPR)

Schools are solely responsible for the accuracy, quality, and legality of data uploaded to LaikiEdu. LaikiEdu acts as a data processor on your behalf and is not responsible for errors in data entered by your institution.

5. Subscription & Payment

Access to the full features of LaikiEdu requires an active paid subscription. Subscription plans, pricing, and features are described on our platform and are subject to change with 30 days' notice to existing subscribers.

Subscription fees are billed in advance on a monthly or annual basis, as selected during registration. All fees are stated and charged in Nigerian Naira (₦) unless otherwise agreed in writing.

Failure to pay subscription fees by the due date may result in restriction of access to certain features. Accounts with outstanding balances beyond a 14-day grace period may be suspended. Your school's data will remain accessible for data export during any suspension period, and for 90 days after termination.

We use secure third-party payment processors. LaikiEdu does not store credit card or bank account details on our servers.

6. Refund Policy

We offer a 30-day free trial period for new school accounts. No payment is required during the trial.

After the trial period, subscription fees are generally non-refundable. However, we assess refund requests on a case-by-case basis. If you believe you are entitled to a refund due to a Service failure on our part, please contact us at hello@laikiedu.com within 14 days of the issue.

Refunds will not be issued for periods of Service use prior to a cancellation request, or for unused portions of an annual subscription unless the Service was unavailable for an extended period due to a fault attributable to LaikiEdu.

7. Data Ownership

Your school retains full ownership of all data you input into LaikiEdu. This includes student records, academic results, staff information, financial records, and any other data uploaded by your institution.

LaikiEdu does not claim any ownership rights over your data. We will not use your school's data for any purpose other than providing the Service to you, unless required by law or with your explicit written consent.

Upon termination of your subscription, you will be provided with a full export of your school's data in a standard format (CSV/Excel). Data exports are available for 90 days after account closure, after which data may be permanently deleted from our servers.

8. Intellectual Property

The LaikiEdu platform, including its software, design, code, branding, user interface, and all associated materials, is the exclusive property of Laiki Tech Innovations Ltd and is protected by Nigerian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose of school management. You may not copy, modify, distribute, sell, sublicense, reverse engineer, or create derivative works based on any part of the LaikiEdu platform.

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation or compensation to you.

9. Prohibited Uses

You agree not to use LaikiEdu to:

• Upload false, fraudulent, or fabricated student records or academic results
• Attempt to gain unauthorized access to other schools' data or to our systems
• Upload content that is illegal, defamatory, abusive, or violates any applicable law
• Use the platform to send unsolicited communications (spam) to parents or students
• Resell, sublicense, or otherwise provide access to the Service to third parties without our written consent
• Conduct load testing, penetration testing, or security scanning without our prior written authorization
• Interfere with or disrupt the integrity, performance, or security of the Service

Breach of this section may result in immediate suspension or termination of your account without refund.

10. Service Availability & Maintenance

LaikiEdu strives to maintain high availability of the Service. However, we do not guarantee uninterrupted access and are not liable for any downtime caused by:

• Scheduled maintenance (we will provide advance notice where possible)
• Emergency maintenance required to maintain security or system integrity
• Third-party service provider outages (e.g., cloud infrastructure, email providers)
• Force majeure events including natural disasters, government actions, or internet infrastructure failures

We aim to provide at least 72 hours' advance notice for scheduled maintenance windows that may affect Service availability during business hours.

11. Limitation of Liability

To the maximum extent permitted by Nigerian law, LaikiEdu and Laiki Tech Innovations Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, loss of revenue, or reputational harm.

Our total cumulative liability to you for any claims arising under these Terms shall not exceed the total subscription fees paid by your school to LaikiEdu in the 12 months immediately preceding the claim.

Nothing in these Terms limits our liability for fraud, gross negligence, or any liability that cannot be excluded or limited under applicable Nigerian law.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Edo State, Nigeria, unless both parties mutually agree to resolve the dispute through arbitration.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email (to the address associated with your school account) and by posting a prominent notice on the platform at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Service before the effective date.
